Each project is managed by an owners association and the common area is managed by a community association. The ownership rights to the six parcels are described in more detail below:1. The complex is a 3-story wood frame structure over a concrete podium. The ground level is utilized as enclosed parking and the upper floors include condominium units that vary in sizes from about 500 sq. ft. to 1,200 sq. ft. Parcel No. 2 is 0.354 of an Acre and is used as two tennis courts for the benefit of Portobello residential owners subject to use rights by the Office owners. The Residential Project is managed by a Board of five Directors elected every year from the homeowners. Each unit represents one vote which makes the total number of votes in the Residential Association equal to 200 votes.2. The Office Project consists of 16 individually owned office condominium units. The office building was built on Parcel 5 which is 0.312 of an Acre. This building is a two story concrete tilt-up with interior stud walls that separate the individual units. Offices vary in sizes from about 600 sq. ft. to 3,000 sq. ft. The Office building is managed by a Board of three directors elected every year from the office condominium owners. The voting rights of owners vary according to the size of their units. The total number of votes in the Office Association is equal to 93 votes.3. The Marina Project consists of 87 individually owned boat berths which are purchased and sold in a manner similar to that of the Condominium units. The Marina was built on Parcel 6 which is 2.259 Acre in size. The Marina is managed by a Board of three Directors elected every year from the berth owners. Each berth represents one vote which makes the total number of votes in the Marina Association equal to 87.4. The Restaurant Project is a fee simple water front property about 0.574 Acre in size (Parcel No. 4) and has a 10,000 sq. ft. wood frame building built on piers which is used as restaurant. The restaurant operates as a full service restaurant and cabaret under the name of ?Zazoo?s?. The restaurant parcel is considered as a board by itself and has title rights to the parking lot which is located within Parcel No. 3.5. The Common Area (Parcel No. 3) is owned by Community Association and is subject to ownership and use rights to each of the four association boards and its CC&R?s. The Parcel is also subject to easements for public utilities, public access regulated by the Bay Conservation & Development District (BCDC), and ingress and egress rights to all Portobello owners. It is our understanding that the use and disposition of the Common area may be changed by a 51% majority vote of all of Portobello community members (i.e. 5O% plus one vote of the total 380 votes which is equal to 191 votes).The Community Association of Portobello consists of a Board of five Directors selected as follows: The President and Vice President of the Residential Association, the President of the Office Association, the President of the Marina Association, and the Owner of the Restaurant Parcel. The Community association is responsible for managing and maintaining the Common Area.Area which consists of Parcel No. 3.This parcel is 4.475 Acres in size and consists of an at-grade parking lot, landscaped medians, and sidewalks. The parking accommodates about 150 vehicles and is mostly utilized by the Restaurant Parcel. The Community Association budget is derived from dues paid by the four Boards according to the following percentages: 35% of the budget is paid by the Restaurant Parcel owner; 30% of the budget is paid by the Residential Association, 25% of the budget is paid by the Office Association, and 10?/s is paid by the Marina Association.
